Staffing Services Agreement

WHEREAS, the Client desires to engage the Service Provider to provide temporary, contract, and permanent staffing services, and the Service Provider agrees to provide such services under the terms set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties hereto agree as follows:

Scope of Services:

• The Service Provider agrees to recruit, screen, and place suitable candidates according to the specifications provided by the Client for temporary, contract, and permanent positions.
• The Service Provider will handle all aspects of the candidate vetting process, including but not limited to interviews, background checks, and technical assessments.

Placement Fees:

• The Client agrees to pay the Service Provider a placement fee calculated as [20%] of the candidate’s first annual gross salary for permanent placements.
• For temporary or contract placements, the Client agrees to pay a markup of [45%] over the pay rate of the hired candidate.

Payment Terms:

• Invoices for placement fees will be issued by the Service Provider upon the candidate's acceptance of a job offer.
• Payment is due within [30] days from the date of the invoice.
• Late payments shall accrue interest at a rate of [1.5%] per month.

Candidate Guarantee:

• If a permanent placement terminates employment within [90] days of their start date, the Service Provider will either refund the placement fee or provide a replacement candidate at no additional cost to the Client.
• No refunds or replacements will be offered if employment is terminated after [90] days.

Confidentiality:

• Both parties agree to keep all information regarding candidates and business practices confidential unless disclosure is authorized or required by law.

Term and Termination:

• This Agreement shall commence on the date first above written and shall continue until terminated by either party with a [30] days written notice.
• Either party may terminate the Agreement immediately for breach of its terms if the breach is not cured within [10] days of written notice of such breach.

Miscellaneous:

• This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all previous agreements.
• Any amendments or modifications to this Agreement must be made in writing and signed by both parties.
• This Agreement shall be governed by and construed in accordance with the laws of the state of [State Name].
